2)FEES AND PAYMENT
As a vital component of Remedios Dsilva Designs’ payment conditions, an upfront payment of 50% is mandatory before commencing any project. The remaining 50% must be settled within 15 days from the project’s completion, by the End of Month (EOM). It is crucial to note that a 15% late payment fee will be applied to payments exceeding this specified timeframe.
Remedios Dsilva Designs adheres to a distinctive payment cycle, deviating from the conventional 45-day corporate norm. This deliberate choice aligns seamlessly with the dynamic nature of the freelance work undertaken by the design firm. The condensed 15-day period within this payment framework ensures prompt compensation, fosters transparent relationships between clients and contractors, and minimizes administrative complexities.
This tailored approach underscores Remedios Dsilva Designs’ commitment to their financial well-being, recognizing the immediate impact of their contributions and adapting to the varied timelines inherent in freelance projects. In essence, the concise 15-day EOM payment term encapsulates a collaboration that is streamlined, fair, and efficient—specifically crafted to suit the distinctive dynamics of Remedios Dsilva Designs’ freelance services.
- Payment Terms:
- Graphic Design Fee:
Upon the conclusion of services, a 100% Graphic Design Fee is mandatory before the release of final print files, digital files, or their upload to the Client, unless explicitly stated otherwise in writing. It is imperative to emphasize that Remedios Dsilva Designs does not engage in bartering and requires full payment for all services, even in the case of Client-initiated cancellations, encompassing both completed and ongoing projects.This fee requirement extends to ongoing projects that may be terminated by the Client. Even in the event of project termination, the responsibility for the entire Graphic Design Fee remains unchanged. This inclusive approach aims to ensure clarity and uniformity in our financial transactions, highlighting our dedication to equitable compensation for the creative efforts invested in both completed projects and ongoing initiatives. This acknowledges the resources and dedication allocated to each project, emphasizing our commitment to fair remuneration. - Client’s Fixed Fee Obligation:
Client shall pay Designer a fixed fee as total compensation for the project. The cost will be given as per project. The rates would vary as per the understanding of the final requirements and scope of work per project. The cost given is only for designing the units which do not involve any printing and fabrications. - Content and Design Specifications:
All content and Client design specifications must be supplied prior to initiating work on project. Any changes made to initial content received by Remedios Dsilva Designs will result in an additional time and charge. - Proof Review and Alterations:
It is the Client’s responsibility to check the proof carefully and thoroughly. There shall be no charges to the Client for revisions or corrections or additions made necessary by errors on the part of Remedios Dsilva Designs prior to the release of final files. Any other changes requested by the Client shall be considered Client’s Alterations or Change Orders if they are requested after the acceptance of final files. Client alterations and/or change orders from the original submitted specifications and submitted material will be subject to an additional charge. After final proof approval, any changes will be billed separately. - Adaptability and Renegotiation:
If the parameters of the Work change, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost and scope of work. - Prompt Payments and Late Interest:
Payments must be made within 15 days of the invoice date, or overdue interest at the rate of 15% will be charged. - Ownership and Source Files:
Our comprehensive design services entail the creation and delivery of tailored finalized designs. The Source Files, constituting the authentic, editable foundation (e.g., PSD, AI, or INDD files), remain under Remedios Dsilva Designs ownership until full payment for the design services is received. The cost for design services and the applicable format for printing or digital use (such as High Res Print Ready File, JPEG, PNG, or PDF) will be communicated to the client. Notably, sharing Design Source Files incurs an additional cost beyond the design service fee, and the release of these files is contingent upon full payment for design services and a requirement for open source files. This approach ensures transparency and facilitates alignment with the premium nature of Source Files, safeguarding both the creative work and the client-designer relationship. We encourage open communication for further clarification or customization based on your specific needs. - Change of Scope:
In the event of a need for expediting design work beyond the project scope and agreed time frames, we will strive to accommodate your request. However, it is crucial to acknowledge that adhering to industry standards for quality design necessitates time. Unreasonable time constraints may impact the final product, and therefore, we retain the right to decline any expedited work request. In cases where we agree to expedite your project, additional fees of up to 50% of the relevant agreed fee will be applicable to compensate for overtime efforts.

- Should the Client change the scope of this project, Designer reserves the right to adjust its billing accordingly with written approval from the Client. The grant of any licence or right of copyright is conditioned on receipt of full payment.
- Expenses:
Unless otherwise stated, this estimate does not include;- Source Files, Printing, Shipping or Fabricating
- Travel-related costs.
4)PLACE OF PERFORMANCE

- The Design work will be performed from my Residence in Dubai and open to personal meeting to discuss the project as and when required.
5)DESCRIPTION OF SERVICES
- Study design briefs and determine requirements:
Thoroughly examine design briefs to understand client requirements and project specifications, ensuring a comprehensive grasp of the creative objectives. - Schedule projects and define budget constraints:
Efficiently organize project timelines and establish budgetary constraints, aligning resources with client expectations for a streamlined and cost-effective workflow. - Conceptualize visuals based on requirements:
Generate creative concepts and visual ideas that align with the project’s objectives, combining innovation and functionality. - Prepare rough drafts and present ideas:
Produce preliminary drafts, adapting to the client’s time constraints, and present initial ideas for feedback and discussion. - Develop Layouts, Vectors, Graphs, Flowcharts, Logos, and Other Designs:
Utilize professional software to craft diverse design elements, including layouts, vectors, graphs, flowcharts, logos, and other visual components. - Use Appropriate Brand Colors and Layouts:
Implement brand-specific colors and layouts, ensuring consistency and adherence to established brand guidelines in each graphic and layout. - Collaborate with Content Developer and Marketing Head or Assigned Team Member:
Work closely with content developers and the marketing team, or assigned team members, to synergize creative design elements with content strategies for a cohesive final product. - Amend Designs After Feedback and Make Adjustments:
Respond to client feedback by revising and adjusting designs as needed, ensuring client satisfaction and alignment with project goals. - Present Final Design:
Showcase the refined and finalized design, incorporating all revisions and adjustments, for client approval and project completion. - Ensure Final Graphics and Layouts are Visually Appealing and On-Brand:
Scrutinize the final graphics and layouts to ensure visual appeal and strict adherence to brand standards, guaranteeing a polished and cohesive presentation. - Design Work Includes Only the Final, Deliverable Art (Excluding Source Files):
Clarify that the scope of design work encompasses the final deliverable art, excluding any preliminary designs or sketches, streamlining the client’s understanding of the service provided.
6)SCHEDULE/MILESTONES
- The timing and key stages of our projects aren’t set in stone. They vary for each project, depending on what that specific project needs. The length and complexity of the project play a big role, and we can’t pin down a schedule without fully understanding what the project involves.
- In simpler terms, Remedios Dsilva Designs don’t use a one-size-fits-all approach. Every project is unique, and the time it takes to finish it depends on the details and goals of that particular project. Trying to predict or define a schedule without knowing all the details would be like shooting in the dark. So, we tailor our approach based on the specific needs and intricacies of each project, ensuring a realistic and effective timeline that works for everyone involved.
7)ACCEPTANCE CRITERIA
- Content, Image, Artwork & File Requirements
- Remedios Dsilva Designs does NOT write, create, or edit content. All textual content must be supplied in the final and not a work in progress. It must be in an editable format and as it should appear on Clients website or final graphic design. All content must be submitted in a digital format.
- All content and Client design specifications must be supplied prior to initiating work on a project. Any changes made to the initial content received by Remedios Dsilva Designs will result in additional time and charge.
- Stock Photography:
- Use of Licensed Royalty-Free Stock Photography:
Remedios Dsilva Designs occasionally sources licensed royalty-free stock photography Excluding Editorial Images to create custom art and marketing collateral. The Client is responsible for purchasing and abiding by the license associated with any stock images used to create the Client’s artwork. - Status of Original Stock Photos and Editable Files:
Original stock photos and native editable files are not included as ‘final files’ or as any part of the final design work provided by Remedios Dsilva Designs. Providing editable files that include stock photos provided by Remedios Dsilva Designs would be a violation of our license Agreement. If you provided all photos and images and would like the native files for your project, they can be provided upon request at an additional cost. - Exclusive Use of Pre-made Designs:
Pre-made designs created by Remedios Dsilva Designs are sold exclusively to one customer, retired and are never re-sold. Remedios Dsilva Designs occasionally uses licensed stock photography to re-create pre-made cover art and will not be held liable if the same stock photography is used by someone else.
- Use of Licensed Royalty-Free Stock Photography:
- Proofs:
- Remedios Dsilva Designs strongly recommends that all design work receive at least a one-time proofing by the Client to ensure that all written text information is correct. Clients are 100% responsible for the accuracy of layouts & text content. Please proofread all layouts carefully. Any changes made to initial content and/or instructions received by Remedios Dsilva Designs will result in an hourly service charge separate to the initial quoted fee/timelines. Any additional changes made after the final delivery will be billed at the hourly rate.
- Remedios Dsilva Designs will reproduce color from submitted photos, or digital layouts as closely as possible, but cannot exactly match color and density because of limitations in digital media. Remedios Dsilva Designs accepts no responsibility for color variations between submitted images and the actual artwork or product they represent whether in print or online.
- Client’s Alterations and/or Change-Orders
- It is the Client’s responsibility to check the proof carefully and thoroughly. There shall be no charges to the Client for revisions or corrections or additions made necessary by errors on the part of Remedios Dsilva Designs prior to the release of final files. Any other changes requested by the Client shall be considered Client’s Alterations or Change Orders if they are requested after the acceptance of final files. Client alterations and/or change orders from the original submitted specifications and submitted material will be subject to an additional charge. After final proof approval, any changes will be billed separately.
- Indemnification:
- Indemnification for Copyright Claims:
The Client will indemnify and hold harmless the designer, Remedios Dsilva Designs, from any and all loss, cost expense, and damages on any and all manner of claims, demands, actions, and proceedings that may be instituted against the Designer on the grounds alleging that said design and/or printing violates any copyright or any proprietary right of any person. It is the Clients responsibility to screen the use of photos or artwork provided to Remedios Dsilva Designs which are copyrighted or have copyright pending. The client affirms ownership of the rights to use the images being reproduced. - Validity of Agreement Provisions:
In the event that any provision within this agreement is deemed unlawful, void, or unenforceable, that particular provision will be treated as separable from the agreement. This separation will not compromise the validity or enforceability of the remaining provisions. This safeguards the overall integrity of the agreement, allowing any invalid part to be excised without affecting the legal standing of the rest of the agreement.
- Indemnification for Copyright Claims:
- Contract Termination and Legal Rights:
- In the unfortunate event of contract termination by either party without the resolution of outstanding bills, a pivotal clause comes into effect, ensuring that all legal rights to the work unequivocally remain vested with Remedios Dsilva Designs. This stipulation is not merely procedural but holds substantial implications for the post-termination landscape. Under such circumstances, the client is expressly prohibited from any utilization of the designs, whether for personal or business purposes. This prohibition extends beyond mere usage, as any endeavor by individuals, be it the client or any other designer, to replicate or reproduce the innovative ideas and designs developed by Remedios Dsilva Designs is rigorously and unequivocally forbidden. This robust safeguard not only protects the intellectual property and creative integrity of Remedios Dsilva Designs but also ensures a clear delineation of legal rights, fostering a professional and respectful relationship between the parties involved.
- Portfolio Display rights
- Remedios Dsilva Designs retains the rights to showcase and display completed work in a portfolio or on the website after it has been finished and made available to the public domain. This allows us to exhibit our creative portfolio to showcase our skills and expertise to potential clients and the public.
- Designer Rights to Authorship credit
- The client and designer mutually agree that, upon request, the client must accurately acknowledge Remedios Dsilva Designs as the creator of the work. While the client is not obligated to proactively display the designer’s name alongside the work, it is imperative that the client refrains from misleading others by suggesting that the work was created by anyone other than Remedios Dsilva Designs. This ensures proper attribution and acknowledgment of the design origin when specifically inquired about.
- Illness and Unexpected Circumstances
- In the case of unforeseen illness, if the agreed-upon delivery timelines cannot be renegotiated, the Designer commits to promptly refunding to the Client all previously paid fees for the ongoing project. Following this refund, the Designer will have no further liability concerning this Agreement.
- Furthermore, the Designer will not be held liable to the Client under any circumstances if the Designer’s performance is hindered or prevented by factors beyond their control. Such factors may include but are not limited to war, insurrection, strikes, walk-outs, riots, fire, acts of God (including adverse weather conditions and earthquakes), shortages, or laws or governmental restrictions conflicting with the terms of this Agreement. This provision acknowledges that certain unforeseen events may impact the Designer’s ability to fulfill their obligations, relieving them of liability in such exceptional circumstances.
8)DEFINING OWNERSHIP AND PROHIBITED ADDITIONAL DESIGN COLLATERALS
- Terms in Presence of Formal Agreement
- Ownership and Purpose:
Upon the completion of the designated design project as per the client’s request, the client acknowledges that the designer may create supplementary design collateral. This collateral may encompass but is not limited to, promotional materials, website mockups, or other visual representations. The primary objective of generating such additional design collateral is to showcase the designer’s portfolio and skills purely for portrayal on the designer’s website. - Intellectual Property:
The client acknowledges that the additional design collateral produced by the designer constitutes the intellectual property of the designer. No license is granted to the client for the use, reproduction, or modification of this collateral without the explicit written consent of the designer. - Prohibited Usage:
The client agrees not to engage any other designer or third party to copy, recreate, or modify the design collateral in any form without obtaining express written permission from the designer. - Client’s Use:
If the client intends to utilize any part of the additional design collateral for their own purposes, such as in marketing materials, social media, or other promotional activities, written consent must be obtained from the designer. Additionally, the client commits to paying any agreed-upon additional fees for such usage. - Designer’s Discretion:
The designer retains the right to withhold permission for the use of additional design collateral at their discretion. - Client’s Use Beyond Original Scope:
If the client wishes to use the specific design beyond the original scope, written consent from the designer is required, and the client may incur additional fees. The agreement on fees and any dispute resolution mechanisms will be determined as specified in the agreement. - Breach of Agreement:
Unauthorized use of the additional design collateral without explicit written consent from the designer will be considered a breach of this agreement. - Legal Recourse:
In the event of a breach, the client may be subject to legal action to enforce the terms of this clause. The choice of law and jurisdiction for legal proceedings will be determined as specified in the agreement.
- Ownership and Purpose:
By engaging in the specific design project, the client acknowledges and agrees to abide by the terms and conditions outlined above regarding the usage of additional design collateral created by the designer.

The designer may use the specific design or portions thereof for self-promotion, portfolio showcasing, or any other promotional activities without additional permission from the client. - Modification and Adaptation:
The designer has the right to modify or adapt the specific design for showcasing purposes, ensuring such modifications do not misrepresent the original design’s intent. - Prohibited Usage:
The client agrees not to engage any other designer or third party to copy, recreate, or modify the design collateral in any form without obtaining express written permission from the designer. - Client’s Use Beyond Original Scope:
If the client wishes to use the specific design beyond the original scope, written consent from the designer is required, and the client may incur additional fees. The agreement on fees and any dispute resolution mechanisms will be determined as specified in the agreement. - Communication of Intent:
Both parties agree to openly communicate concerns or objections related to the use of the specific design and work towards an amicable resolution.
